These terms and conditions (collectively, the “Terms” or “Agreement”) govern the agreement between NurseCE4Less (“Company” or “NurseCE4Less”), referrers who send referral links and/or codes (each, a “Referrer”), and prospective customers in receipt of referral links from Referrers (each, a “Referee”), relating to the provision of marketing services by the Referrer to the Company. By sending a referral link to Referees under the NurseCE4Less Referral Program (the “Program”), Referrers and Referees agree to these Terms.
1. Purpose This Agreement allows Referrers to promote NurseCE4Less’s continuing education services and products (the “Services”) to Referees under the NurseCE4Less Referral Program.
2. Eligibility To participate in the Referral Program, it is necessary, but not sufficient, that Referrers: (a) Be at least 18 years of age; (b) Not be prohibited from participating in the Referral Program by any applicable law or by any contractual obligation with NurseCE4Less and/or a third party; and (c) Not refer themselves, including but not limited to creating multiple accounts or using alternate email addresses for self-referral.
NurseCE4Less reserves the sole discretion to determine eligibility and to disqualify any participant who violates these conditions or engages in conduct deemed abusive or fraudulent.
3. Process To qualify for an Incentive: (a) The Referee must not be a current or past customer of NurseCE4Less within the past three (3) years; (b) The Referee must use the Referrer’s unique referral link or code to sign up for NurseCE4Less services; (c) The Referee must complete registration and make a qualifying purchase; (d) The purchase must be successfully processed and not refunded or canceled.
4. Necessary Consent Referrer represents and warrants that they have obtained the consent of each Referee to send referral communications.
5. Referee Engagement NurseCE4Less retains the right to: (a) Accept or reject any Referee at its sole discretion; (b) Determine the terms of any agreement entered into with a Referee; (c) Enter into similar arrangements with third parties.
6. Referral Incentive Referrers may receive a referral incentive (the “Incentive”) for each eligible Referee who makes a qualifying purchase. NurseCE4Less determines, in its sole discretion, the eligibility and amount of any Incentive and may change or cancel Incentives at any time.
Incentives are issued only after NurseCE4Less confirms the qualifying transaction and the Referee remains in good standing. Incentives may take the form of account credits, electronic gift cards, or other rewards, as specified on the NurseCE4Less Referral Program webpage.
Referrers may only share referral codes privately with friends and family. Posting referral links on public forums or coupon sites may result in forfeiture of Incentives.
7. Taxes Referrers are solely responsible for reporting and paying any applicable taxes related to received Incentives. NurseCE4Less may withhold taxes if required by law and provide necessary documentation.
8. Trademark Usage All NurseCE4Less trademarks and branding (“Marks”) remain the sole property of NurseCE4Less. Referrers may only use Marks in ways explicitly permitted by NurseCE4Less. NurseCE4Less may revoke this permission at any time.
9. Confidential Information Any confidential or proprietary information disclosed by NurseCE4Less to the Referrer must be kept confidential and used only as permitted under this Agreement. These obligations survive termination of the Agreement.
10. Warranties Referrer represents and warrants that: (a) They meet the eligibility requirements; (b) They will not make unauthorized claims or representations about NurseCE4Less or its Services; (c) They will not offer monetary incentives to Referees beyond what NurseCE4Less provides; (d) They will comply with all applicable laws and regulations.
11. Indemnity Referrer agrees to indemnify and hold harmless NurseCE4Less against any third-party claims arising from the Referrer’s breach of this Agreement or misuse of NurseCE4Less’s Marks.
12. Limitation of Liability IN NO EVENT SHALL NURSECE4LESS (“COMPANY”) BE LIABLE TO ANY REFERRER FOR DIRECT DAMAGES IN EXCESS OF THE TOTAL INCENTIVE PAID TO SUCH REFERRER BY COMPANY DURING THE ONE (1) YEAR PERIOD IMMEDIATELY PRECEDING THE DATE ON WHICH THE DAMAGES OCCURRED. COMPANY SHALL NOT BE LIABLE FOR ANY PUNITIVE, INDIRECT, SPECIAL, CONSEQUENTIAL, OR INCIDENTAL DAMAGES (INCLUDING BUT NOT LIMITED TO LOST PROFITS), WHETHER BASED IN CONTRACT OR IN TORT (INCLUDING BUT NOT LIMITED TO NEGLIGENCE) OR OTHERWISE, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE REFERRAL PROGRAM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13. Term and Termination This Agreement is effective upon enrollment in the Program and remains in force until terminated by either party. NurseCE4Less may terminate the Program or this Agreement at any time without notice. Incentives will not be issued for referrals completed after termination.
14. No Expectation of Future Engagement Referrer acknowledges that there is no expectation of continued engagement or compensation beyond this Agreement. NurseCE4Less is not liable for loss of potential profits or costs incurred by the Referrer.
15. Relationship of Parties Nothing in this Agreement creates a legal partnership or joint venture. Referrers are independent individuals and not agents or representatives of NurseCE4Less.
16. Severability & Waiver If any provision is found to be unenforceable, the remaining provisions will remain in effect. A failure to enforce any provision is not a waiver of that provision.
17. Governing Law This Agreement is governed by the laws of the State of Delaware, without regard to conflict of laws principles.
18. Survival Sections relating to confidentiality, intellectual property, limitation of liability, and indemnity survive the termination of this Agreement.19. Entire Agreement This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements. NurseCE4Less reserves the right to amend these Terms at any time without notice.
